1. Agreement to Terms

By accessing or using Ardent Africa ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Ardent Africa. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Platform after modifications constitutes acceptance of the modified Terms.

To use the Platform, you must:

• Be at least 18 years old or have parental consent

• Have the legal capacity to enter into binding agreements

• Not be prohibited from using the Platform under applicable laws

• Provide accurate and complete information when creating an account

While public fundraising approvals are being finalised, the Platform may limit creation of new fundraising and hybrid campaigns to authorised Ardent Africa Foundation accounts. Petitions and other features may remain available as shown in the app. When public fundraising opens more broadly, additional eligibility and verification requirements will apply as described in these Terms and our Platform Use Guidelines.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information

• Maintain and update your information to keep it accurate

• Maintain the security of your account credentials

• Accept responsibility for all activities under your account

• Notify us immediately of any unauthorized access

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

5. Campaigns and Content

5.1 Campaign Creation

Campaign creators ("Creators") are responsible for:

• Ensuring campaign content is accurate, lawful, and does not infringe on third-party rights

• Using funds raised for the stated purpose

• Providing regular updates and impact reports

• Complying with all applicable laws and regulations

5.2 Content Ownership

You retain ownership of content you create and post on the Platform. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content on the Platform and in promotional materials.

5.3 Prohibited Campaigns

We prohibit campaigns that:

• Promote illegal activities or hate speech

• Violate intellectual property rights

• Are fraudulent or misleading

• Involve personal financial gain without clear social impact

5.4 Ardent Africa Foundation Causes

Causes operated by the Ardent Africa Foundation on the Platform are verified by Ardent Africa and display Foundation trust indicators. Donations to those causes use the Foundation zero-fee path described in section 6.2. Foundation causes are distinguishable from user-led campaigns by Foundation badges on the Platform.

5.5 Jobs and Recruitment

The jobs portal connects organisations that are hiring with individuals seeking work. Only NGO/charity and corporate accounts may post jobs (an employer's verified organisation profile is its public company page); only individual (personal) accounts may publish a candidate profile and apply.

Employers must post genuine roles, describe them accurately (responsibilities, requirements, and any stated pay), and must not discriminate against applicants on the basis of age, gender, ethnicity, religion, disability, or any other characteristic protected by law. Employers must never ask a candidate for payment, a deposit, an "application fee", bank details before a written offer, or anything of value as a condition of consideration.

Candidates must provide accurate information. A candidate's contact details (email, phone, address) are kept private; employers reach candidates only through in-app messaging. Ardent does not process, hold, or take a cut of any salary, fee, or payment between an employer and a candidate. Posting a job, applying, and messaging are free. Two optional paid features exist and neither is required to hire or be hired: an employer may pay to feature a job (a fixed fee for a fixed promotion window, shown before purchase and charged on Ardent's own payment account), and the "support" tip is a voluntary gift to the Ardent Africa Foundation. The featured-job fee is a charge for placement only and is non-refundable once the promotion goes live.

5.6 Reviews and Business Listings

Ardent Reviews lets users rate and review businesses, NGOs, schools, and healthcare facilities ("reviewable entities"), each with a TrustScore built from published reviews. A review must reflect your own, genuine experience with the entity; you must not post a review for an entity you own, manage, are employed by, or are otherwise affiliated with. We rely on automated and human review, together with reports from users and entities, to detect and remove fake, duplicate, incentivized, or coordinated reviews and to act on accounts that attempt to manipulate a TrustScore.

You retain ownership of the reviews you write. By posting a review, you grant us the same content licence described in section 5.2, and you agree the review may be shown publicly together with your rating and, where applicable, a verified-experience badge: under your display name if you have an account, or under a generic guest label if you review as a guest. A guest may leave a review only after a genuine, verified interaction (for example a donation, petition signature, or event ticket), and we identify a guest review by a privacy-preserving one-way hash of the guest's contact detail, never by storing that contact detail against the review.

An entity may claim its own listing after we verify its authority to do so, respond publicly to reviews once claimed, and dispute a review it believes is false, defamatory, or posted by someone with no genuine relationship to the entity. A disputed review stays visible with a "disputed" label while we investigate. We do not remove a review merely because the reviewed entity objects to it. Writing, reading, and responding to reviews is free, and no money passes between a reviewer and an entity through Ardent; any optional "tip" is a voluntary gift and is never a payment for a review or a rating.

5.7 Organisation Accounts, Teams, and Public Commitments

An NGO/charity or corporate account is owned by the person who created it. The owner may invite additional people as team members with defined roles (for example admin, editor, or viewer). A team member acts on behalf of the organisation within the limits of their role, and the organisation is responsible for what its members do on its account. Removing a member ends their access immediately.

A verified organisation has a public profile (its "hub") that aggregates the campaigns, petitions, events, listings, volunteer opportunities, jobs, and public commitments it runs. The organisation is responsible for keeping its public information accurate and for the content it publishes there.

To be verified, an organisation submits registration and identity documents. Those documents are stored privately, are visible only to Ardent's review team, and are used only to assess verification. We may approve, decline, or request more information, and we will tell the organisation the reason for a decision. Verification can be withdrawn if the organisation no longer meets the requirements or provided inaccurate information. Verification is a check of the documents provided and is not a guarantee by Ardent of the organisation's conduct.

A verified organisation may publish public commitments: a CSR pledge (a public statement of intended social contribution), a matching pledge (a public commitment to match donations to a campaign up to a stated cap), or co-sponsorship of a campaign or petition (a public statement of support). These are public statements of intent, displayed after review. They are not contracts with Ardent, and Ardent does not collect, hold, escrow, guarantee, or disburse any pledged or matched amount. Any money an organisation chooses to give flows through the normal donation path or directly, off Ardent's books. An organisation is responsible for honouring the commitments it publishes; Ardent is not a party to them.

For the avoidance of doubt, and consistent with section 6.4, Ardent Africa never custodies third-party money on behalf of an organisation. Amounts shown in a pledge, a match cap, or a CSR statement are figures the organisation declares, not funds Ardent holds.

Standard organisation features (a profile, a hub, a team, a directory listing, and publishing public commitments) are free. If Ardent later offers an optional paid organisation tier, its price and terms will be shown before purchase, it will be optional, and it will not change the custody rule above: Ardent will still never hold third-party money.

5.8 Ardent Social

Ardent Social lets you publish posts, follow and connect with others, join communities, and send direct messages, either as yourself or as an organisation or business listing in which you hold a seat. Posting as an organisation is a use of that organisation's account: the organisation is responsible for what is published in its name, and we may act against the organisation, the individual, or both.

You retain ownership of what you post. By publishing you grant us the same content licence described in section 5.2, limited to the audience you chose: a post restricted to your followers, your connections, or a single group is not made public by that licence, and we do not publish it through our public API, to search engines, or in embeds on other sites.

You must not use Ardent Social to harass, threaten, impersonate, or incite violence against anyone, to post content that is unlawful, defamatory, or sexually exploitative, to run scams or advance-fee fraud, to solicit money outside the platform's own compliant rails, or to operate bulk, automated, or coordinated inauthentic accounts. Communities and their moderators must apply their own rules consistently with these Terms; a community rule can be stricter than this section but never looser.

We use automated tools and human review to enforce this. Where we act on content or an account we record the decision and the rule it relied on, we tell the person affected, and they may appeal it to a different reviewer from the one who decided. Repeated breaches accumulate against an account and may lead to limits, suspension, or removal. Our published moderation statistics report the volume and outcome of these decisions.

Ardent Social carries no money path between people: there are no tips, no creator fund, no subscriptions, and no payments between users. Anything presenting itself as one is not part of this service.

6.1 Donations

All donations are final and non-refundable unless required by law or as specified in our Donor Guarantee. Donations are processed through secure third-party payment processors. We are not responsible for payment processing errors or issues.

6.2 Platform Fees

Causes operated by the Ardent Africa Foundation use a zero platform fee path. The full gift supports the cause as shown on the cause page, and those pages do not display the standard fundraising fee breakdown.

For standard public fundraising and hybrid campaigns created by ordinary users (when public fundraising is enabled), a total fee of 7% may be deducted from each donation: a 2% payment processing fee (covering payment gateway charges and withdrawal payout costs) and a 5% platform fee (supporting platform operations, customer support, and development). Donors pay the full amount; fees are deducted from what campaign creators receive. Campaign creators accept these fee terms when creating a fundraising or hybrid campaign. 6.3 Tax Information

Donors are responsible for determining the tax implications of their donations. We may provide tax receipts where applicable, but we do not provide tax advice.

6.4 Jobs, Marketplace, and Events Settlement

Posting a job, applying, and messaging are free, and Ardent never handles money between employers and candidates. The only job-related charge is an optional fee to feature a job for a fixed promotion window; it is charged on Ardent's own payment account, is for placement only, and is non-refundable once live. Marketplace services are settled directly between the parties off-platform; Ardent charges no marketplace fee. For paid events, ticket revenue is collected through the organiser's OWN payment account (their own Paystack or Hubtel keys) and never touches Ardent's books; the organiser sets and administers ticket prices, refunds, and chargebacks directly with buyers. Ardent collects only a flat platform fee per paid event, charged on Ardent's own payment account; that platform fee is non-refundable, including where an event is later cancelled or postponed. In every case, Ardent Africa never custodies third-party money.

7. Intellectual Property

The Platform and its content, features, and functionality are owned by Ardent Africa and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Platform will be uninterrupted, secure, or error-free

• Defects will be corrected

• The Platform is free of viruses or harmful components

• Campaigns will achieve their stated goals

We do not endorse, guarantee, or assume responsibility for any user-led campaigns, content, or services unless they have completed our Verified Cause programme or we state otherwise. Causes explicitly identified as Ardent Africa Foundation causes are operated by or on behalf of the Foundation and are distinguishable by Foundation badges on the Platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARDENT AFRICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ardent Africa and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform

• Your violation of these Terms

• Your violation of any third-party rights

• Content you post on the Platform

11. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause or notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration or in the courts of Ghana.
